TERMS AND CONDITIONS
Effective Date: 25/11/2025
1. Acceptance
By accessing, browsing, or using the website and/or mobile application of Pawtrition India (a brand of Prime Lands Asia LLP, registered under Limited Liability Partnership Act, 2008), you (“User”) irrevocably and unconditionally agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not fully agree with every provision herein, you must immediately cease all use of Pawtrition India’s platforms. Your continued use constitutes your explicit acceptance of all terms contained herein, and you shall have no right to dispute any provision subsequently.
2. Definitions
“Company”/”We”/”Us”/”Pawtrition India” refers to Prime Lands Asia LLP, trading as Pawtrition India, a partnership entity registered under the Limited Liability Partnership Act, 2008, with registered office in Ghaziabad, Uttar Pradesh, India.
“User”/”You” means any individual, organization, entity, or legal person accessing, using, or transacting on the Platform, whether registered or unregistered.
“Platform” refers collectively to the website (if any), mobile application, and all associated services, portals, APIs, and digital interfaces operated by Pawtrition India.
“Products” means all goods, including pet food, pet supplies, equipment, and ancillary items listed and sold by Pawtrition India.
“Services” means all services offered, including order processing, customer support, and delivery coordination (detailed in separate Delivery and Refunds Policy).
“Support Hours” means the operating hours during which customer support services are available, as defined in Section 22 of these Terms.
3. Eligibility and Legal Capacity
Users must be at least 18 years of age and possess the legal capacity to enter into binding contracts as defined under Section 11, The Indian Contract Act, 1872 (https://indiacode.nic.in/handle/123456789/2184?view_type=browse&sam_handle=123456789/1362).
By using this Platform, you represent and warrant that you have full legal authority and capacity to enter into these Terms and that doing so does not violate any law, regulation, or prior contractual obligation.
Pawtrition India shall have no liability whatsoever if any User is found to be ineligible or lacking legal capacity; such use constitutes trespass and unauthorized access.
4. User Account and Registration
Users who register must provide accurate, current, truthful, and complete information. Any false, fraudulent, or misleading information is a material breach of these Terms.
Pawtrition India reserves an absolute right to refuse registration or suspend/terminate accounts at its sole discretion without notice, cause, or liability, including where:
Any fraud or suspicious activity is suspected.
Information provided is false, incomplete, or misleading.
The User has previously violated these Terms or any other policies.
Compliance with law or regulation requires such action.
The User has engaged in any unauthorized or illegal activity.
Users are solely and entirely responsible for maintaining the confidentiality of account credentials (username, password, OTP). Any unauthorized use of credentials is the User’s sole responsibility.
Pawtrition India shall have no liability for any loss, damage, or unauthorized access arising from the User’s failure to maintain credential confidentiality.
5. User Obligations and Prohibited Conduct
Users explicitly undertake and agree that they shall not:
Misuse, hack, reverse-engineer, decompile, or attempt any form of unauthorized access to any part of the Platform or its infrastructure.
Violate any applicable law, statute, rule, regulation, ordinance, or court order, including but not limited to the Information Technology Act, 2000 (https://indiacode.nic.in/handle/123456789/1999), the Bharatiya Nyaya Sanhita, 2023, and all GST and tax laws.
Post, upload, or transmit false, defamatory, obscene, offensive, threatening, abusive, or illegal content.
Engage in any form of harassment, abuse, or threatening behavior toward other Users or Company personnel.
Use bots, scrapers, crawlers, or automated tools to access or extract data from the Platform without express written consent.
Attempt to interfere with, disrupt, or impair the functioning of the Platform or its servers.
Infringe upon any intellectual property rights, including trademarks, copyrights, patents, or trade secrets.
Engage in any unlawful activity, including fraud, phishing, or money laundering.
Any violation of these obligations constitutes material breach, and Pawtrition India shall have absolute right to suspend or terminate the User’s account, refuse service, and report the User to law enforcement authorities without notice or liability. All consequences arising from such violations are the User’s sole responsibility.
6. Orders, Order Acceptance, and Reservation of Rights
Product listings, descriptions, and images on the Platform do not constitute offers under Contract law; they are merely invitations to treat as per Section 2(k), The Indian Contract Act, 1872.
All orders placed by Users are treated as offers to Pawtrition India. Such offers are not automatically accepted; acceptance occurs only upon explicit order confirmation from Pawtrition India via email, SMS, or in-app notification.
Pawtrition India reserves an absolute, unconditional, and discretionary right to refuse, cancel, reject, or limit any order, or any quantity within an order, for any reason or no reason whatsoever, including but not limited to:
Suspected product availability issues or inventory miscalculation.
Suspected pricing errors, clerical errors, or system errors.
Suspected or actual fraud, unauthorized use, or suspicious activity.
Non-compliance with these Terms or any other applicable policies.
User’s prior history of disputes, chargebacks, or non-payment.
Force majeure events or circumstances beyond the Company’s control.
Regulatory or legal requirements.
At the Company’s sole discretion, for any or no reason.
No order shall create any obligation on Pawtrition India unless and until explicitly accepted by the Company. Mere placement of an order does not bind the Company.
Pawtrition India shall have no liability whatsoever for any rejection, cancellation, refusal, or non-acceptance of any order.
7. Pricing, Taxes, Payment, and Payment Gateway
All prices displayed on the Platform are subject to change without notice. Pawtrition India reserves the right to revise, increase, decrease, or modify any price or promotional offer at any time, even after an order has been placed but before acceptance and shipment.
Prices displayed may be inclusive or exclusive of Goods and Services Tax (GST) as specified at point of sale. All applicable taxes, levies, duties, and government charges (GST, VAT, customs duty, etc.) shall be calculated and charged as per applicable law and GST Regulations, 2017 (https://gst.gov.in/).
Payment must be made through authorized payment gateways or methods specified on the Platform. All payments are processed in accordance with Reserve Bank of India (RBI) guidelines and regulations (https://www.rbi.org.in/).
Pawtrition India shall have no liability for any payment failures, gateway errors, transaction declines, or payment processing issues. Such matters are the responsibility of Users and payment service providers.
By initiating payment, Users authorize Pawtrition India to charge their chosen payment method and agree that such authorization constitutes irrevocable instruction, regardless of whether the order is subsequently accepted or fulfilled.
Pawtrition India is not a payment processor and shall not be liable for any financial loss, unauthorized charges, or disputes arising from payment processing. Such disputes must be raised with the payment service provider or financial institution.
Payment disputes, chargebacks, or reversals are treated as serious violations and may result in immediate account termination and legal action.
8. Product Information, Descriptions, Condition, Warranties, and Liability Exclusion
Product descriptions, images, specifications, and nutritional information are provided for general informational purposes only and may contain unintentional errors, omissions, or inaccuracies. Pawtrition India does not warrant the accuracy or completeness of such information.
Minor variations in color, packaging, labeling, weight, size, or appearance may occur between the product as depicted and the product as delivered. Such variations do not constitute defects and are not grounds for rejection or return.
EXCEPT AS EXPRESSLY PROVIDED IN THE SEPARATE DELIVERY AND REFUNDS POLICY, ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Pawtrition India makes no representations, warranties, or guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of:
Merchantability, fitness for a particular purpose, or suitability for the User’s specific needs.
Non-infringement of third-party intellectual property rights.
Quality, durability, or performance of Products.
Compliance of Products with any particular standards or regulations (unless explicitly stated by law).
Absence of defects or faults.
All implied warranties are hereby disclaimed to the fullest extent permitted under law. Users rely on their own judgment and expertise in selecting Products.
Pawtrition India shall have absolutely no liability whatsoever for any harm, injury, illness, allergic reaction, or adverse effect to any person or animal resulting from or caused by the use, consumption, or application of any Product, regardless of cause, foreseeability, or negligence. This includes, without limitation:
Adverse reactions in pets (illness, allergies, digestive issues, etc.).
Harm to humans consuming or handling Products.
Incompatibility with other medications or foods.
Contamination, spoilage, or deterioration of Products.
Non-compliance with dietary or health requirements.
Users are solely and entirely responsible for reviewing Product ingredients, compositions, and compatibility with their pet’s health, dietary requirements, and any medical conditions. Users shall consult with a veterinarian before purchasing or using any Product if there is any doubt regarding suitability.
The Company’s aggregate liability for any Product, service, or transaction is strictly limited to the amount paid by the User for the specific Product or service in dispute, and in no event shall exceed that amount.
9. Intellectual Property Rights and Protection
All content, design, layout, graphics, software, code, trademarks, logos, names, images, videos, text, artwork, and any other creative material on the Platform (“Intellectual Property”) are the exclusive property of Prime Lands Asia LLP or its licensed partners, protected under:

The Trade Marks Act, 1999 (https://indiacode.nic.in/handle/123456789/1961).
The Designs Act, 2000.
All applicable international copyright and intellectual property treaties.
Users are strictly prohibited from:
Reproducing, copying, modifying, adapting, translating, or creating derivative works of any Intellectual Property.
Distributing, selling, licensing, or sublicensing any Intellectual Property.
Using the Platform’s Intellectual Property for commercial purposes or in any manner not expressly authorized herein.
Reverse-engineering, decompiling, or disassembling any software or technology.
Removing, obscuring, or altering any copyright, trademark, or proprietary notices.
Any unauthorized use of Intellectual Property constitutes infringement and is a material breach of these Terms. Pawtrition India shall have the right to pursue all legal remedies available, including criminal prosecution, without limitation.
Users grant Pawtrition India a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive license to use any feedback, suggestions, or Intellectual Property provided by the User for any purpose, without compensation or attribution.
10. User-Generated Content and Platform Content
By posting, uploading, submitting, or transmitting any content including reviews, feedback, ratings, comments, photos, or other material to the Platform (“User Content”), Users irrevocably grant Pawtrition India and its affiliates a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and sublicensable license to use, reproduce, modify, distribute, display, and publish such User Content in any medium or format, without any compensation, attribution, or approval from the User.
Pawtrition India reserves absolute right to remove, edit, refuse to display, or take down any User Content at any time and for any reason, without notice or liability.
Pawtrition India is not responsible for any User Content and makes no warranty regarding its accuracy, legality, or appropriateness. Users bear full responsibility for their own User Content.
By posting User Content, Users warrant and represent that:
They own or have obtained all necessary rights, licenses, and permissions.
The content does not infringe any third-party rights.
The content is not defamatory, false, obscene, or illegal.
They have obtained consent from any third parties depicted or mentioned.
Users indemnify Pawtrition India against all claims arising from User Content.
11. Indemnification and Hold Harmless
Users shall indemnify, defend at Users’ own expense, and hold harmless Prime Lands Asia LLP, its affiliates, officers, directors, employees, agents, and representatives from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal and professional fees) arising from or in connection with:
Any breach of these Terms by the User.
Any violation of applicable law, regulation, or third-party rights by the User.
Any harm, injury, or damage caused by the User’s actions, omissions, or use of the Platform or Products.
Any infringement of third-party Intellectual Property Rights by the User.
Any User Content provided by the User.
Any dispute between the User and any third party.
Any unauthorized use of the User’s account credentials.
This indemnification obligation applies to all proceedings, whether judicial, administrative, or otherwise, and shall survive termination of these Terms indefinitely.
12. Limitation of Liability and Damage Exclusion
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, INCLUDING THE INFORMATION TECHNOLOGY ACT, 2000, AND THE BHARATIYA NYAYA SANHITA, 2023:
PAWTRITION INDIA SHALL NOT BE LIABLE, AND USERS WAIVE ALL RIGHTS TO CLAIM LIABILITY, FOR ANY:
Indirect, incidental, consequential, special, punitive, exemplary, or disgorgement damages.
Loss of profits, revenue, income, business opportunity, or anticipated savings.
Loss of data, goodwill, reputation, or brand value.
Loss of use of the Platform or Products.
Any harm to animals or persons.
Third-party claims or actions.
Bodily injury, death, or emotional distress.
Any other loss or damage whatsoever, arising from or related to the use, inability to use, or performance (or non-performance) of the Platform, Products, or Services.
THIS LIMITATION APPLIES REGARDLESS OF:
The nature of the claim (contract, tort, strict liability, breach of warranty, negligence, or otherwise).
Whether Pawtrition India was advised of the possibility of such damages.
The legal theory or basis of the claim.
Whether any remedy has failed its essential purpose.
PAWTRITION INDIA’S ENTIRE AND AGGREGATE LIABILITY TO USERS, FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS, SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO PAWTRITION INDIA FOR THE SPECIFIC PRODUCT OR SERVICE IN DISPUTE DURING THE 12-MONTH PERIOD PRECEDING THE CLAIM. IN NO EVENT SHALL SUCH LIABILITY EXCEED INR 1,000 (ONE THOUSAND INDIAN RUPEES).
IF APPLICABLE LAW PROHIBITS THE ABOVE LIMITATION, THE LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Some jurisdictions may not permit the exclusion or limitation of incidental or consequential damages. In such case, the above limitation shall apply to the maximum extent permitted by applicable law, and the balance shall remain the responsibility of the User.
12A. ABSOLUTE DISCLAIMER OF LIABILITY
NOTWITHSTANDING ANY OTHER PROVISION IN THESE TERMS, PAWTRITION INDIA HEREBY DISCLAIMS AND EXCLUDES ALL LIABILITY, TO THE FULLEST EXTENT PERMITTED UNDER INDIAN LAW, FOR:
Platform Availability and Performance:
Any interruption, suspension, unavailability, or downtime of the Platform, whether planned or unplanned.
Any malfunction, error, bug, or defect in the Platform or its services.
Any loss of data, information, or user content.
Any delay or failure in uploading, downloading, or transmitting data or information.
Any disruption of service quality or speed.
Product-Related Liability:
Complete and absolute disclaimer of liability for any and all harm, damage, injury, illness, or adverse effect to any pet or person arising from any Product, regardless of whether such harm is caused by:
Contamination, spoilage, or deterioration of Products.
Allergic reactions or adverse interactions with other substances.
Improper storage, handling, or use by the User.
Manufacturing defects or quality issues.
Mislabeling or ingredient misidentification.
Non-compliance with the User’s pet’s dietary requirements or medical conditions.
Interaction with medications or other products.
This disclaimer applies to all claims by Users, third parties, pets, or any other claimant.
Third-Party Interactions:
Any unauthorized access, hacking, or breach of account security.
Any fraudulent transactions or unauthorized use of User credentials.
Any disputes with payment service providers, delivery partners, or third parties.
Any claims by third parties against the User.
Service Delivery Failures:
Late or failed delivery of Products.
Damage to Products during transit.
Non-delivery of Products.
Any issues related to the separate Delivery and Refunds Policy.
Decision-Making and Reliance:
Any loss arising from User’s reliance on Product information, reviews, or recommendations.
Any loss arising from User’s failure to verify Product details independently.
Any loss from User’s decision to purchase or use any Product.
Support and Communication:
Any failure to respond to support requests during or outside Support Hours.
Any communication delays or failures.
Any misunderstanding or miscommunication between User and the Company.
Legal and Regulatory Compliance:
Any loss arising from regulatory changes or legal requirements.
Any loss from non-compliance with laws or regulations.
Any government orders, restrictions, or prohibitions affecting the Platform or Products.
All Other Liability:
Any and all other loss, damage, or claim whatsoever, whether foreseeable or not, whether direct or indirect, whether arising under contract, tort, strict liability, or any other legal theory.
USERS EXPRESSLY ACKNOWLEDGE AND AGREE THAT THIS DISCLAIMER IS COMPREHENSIVE AND COVERS ALL POSSIBLE SCENARIOS. NO CLAIM OF ANY NATURE, ORIGIN, OR BASIS SHALL IMPOSE LIABILITY ON PAWTRITION INDIA.
13. Force Majeure and Circumstantial Exemption
Pawtrition India shall not be held responsible, and Users expressly waive all claims against the Company, for any delay, failure to perform, or non-fulfillment of obligations arising from circumstances beyond the Company’s reasonable control, including:
Natural disasters, earthquakes, floods, storms, cyclones, or other Acts of God.
Pandemics, epidemics, or health crises (including COVID-19 and variants).
Government orders, lockdowns, curfews, or regulatory actions.
Cyber-attacks, hacking, or security breaches.
Internet or telecommunications failures.
Labor strikes, work stoppages, or industrial action.
Supply chain disruptions or carrier failures.
War, terrorism, or civil unrest.
Any other event beyond the Company’s reasonable foresight or control.
Pawtrition India shall have no obligation to notify Users of force majeure events or to pursue alternative remedies.
During force majeure events, all obligations under these Terms are suspended, and Users shall have no right to cancel orders, claim damages, or seek refunds.
14. Third-Party Links, Websites, and Content
The Platform may contain hyperlinks to websites, applications, and services operated by third parties (“Third-Party Services”). Such links are provided solely for User convenience and do not imply endorsement, affiliation, or approval by Pawtrition India.
Pawtrition India is not responsible for and shall have no liability whatsoever for:
The content, accuracy, legality, or appropriateness of Third-Party Services.
Any transactions, dealings, or disputes between Users and third parties.
Any harm, loss, or damage arising from Users’ use of Third-Party Services.
Viruses, malware, or security risks associated with Third-Party Services.
Users access Third-Party Services at their own risk and are subject to that service’s terms and conditions. Pawtrition India is not liable for any issues arising therefrom.
15. Amendments, Modifications, and Changes to Terms
Pawtrition India reserves an absolute right to amend, modify, supplement, or revise these Terms at any time, in its sole discretion, without notice or approval from Users.
Amended Terms shall be effective immediately upon posting on the Platform. Continued use of the Platform after amendments constitutes Users’ binding acceptance of the revised Terms.
It is the User’s responsibility to review these Terms periodically. Users who do not agree to any amendments must immediately cease using the Platform.
Pawtrition India shall have no liability for any changes or updates to these Terms.
16. Governing Law, Dispute Resolution, and Jurisdiction
These Terms and Conditions, and all transactions on the Platform, shall be governed by and construed exclusively in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

The Information Technology Act, 2000 (https://indiacode.nic.in/handle/123456789/1999).
The Bharatiya Nyaya Sanhita, 2023.
The Bharatiya Samakta Sanhita, 2023.
The GST Act, 2017 (https://gst.gov.in/).
The Goods and Services Tax Rules, 2017.
All applicable rules, regulations, and orders issued thereunder.
All applicable laws of Uttar Pradesh State.
Any dispute, claim, controversy, or cause of action arising out of or related to these Terms, the Platform, or any transaction thereon shall be subject to the exclusive jurisdiction of the competent courts located in Ghaziabad, Uttar Pradesh, India. Users irrevocably consent to and submit to such jurisdiction.
Users hereby waive any objection to venue and any claim of inconvenient forum.
All disputes shall be governed by and adjudicated under the substantive and procedural laws of India, and Users shall have no right to invoke the laws of any other country or jurisdiction.
17. Severability and Survival
If any provision, clause, or portion of these Terms is found to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be severed and removed, while all remaining provisions shall continue in full force and effect.
The invalidity of any provision shall not render these Terms invalid or unenforceable as a whole.
All provisions that are intended to survive termination, including but not limited to Sections 8 (Warranties and Liability), 9 (Intellectual Property), 11 (Indemnification), 12 (Limitation of Liability), 12A (Absolute Disclaimer), 16 (Governing Law and Jurisdiction), and 18 (Grievance Redressal), shall survive indefinitely.
18. Customer Support and Service Hours
18.1 Support Hours and Availability
Pawtrition India provides customer support and services during the following hours:
9:00 AM to 9:00 PM IST (Indian Standard Time)
All seven days a week, including weekdays and weekends
All national holidays observed in India
18.2 Services Available During Support Hours
During Support Hours (9:00 AM to 9:00 PM IST), the following services are available:
Responding to customer inquiries and support requests via email, in-app messaging, or phone.
Processing and acknowledging orders placed on the Platform.
Providing product information and assistance with product selection.
Addressing technical issues or Platform-related problems.
Escalating grievances or complaints through the formal grievance redressal process as outlined in Section 19.
General customer service assistance.
18.3 Support Outside Service Hours
Pawtrition India shall have no obligation to provide customer support, respond to inquiries, or process requests outside Support Hours (9:00 PM to 9:00 AM IST).
Requests submitted outside Support Hours will be acknowledged and addressed during the next available Support Hours window.
Pawtrition India shall have no liability for any delay in response or action on matters submitted outside Support Hours.
Users should not expect immediate response to inquiries submitted outside Support Hours.
18.4 No Guarantee of Support Quality or Resolution
While Pawtrition India endeavors to provide helpful customer support, the Company makes no guarantee regarding:
Quality of support provided.
Timeliness of response within Support Hours.
Resolution of issues or concerns raised.
Accuracy or completeness of information provided by support staff.
Pawtrition India shall have no liability for any failure to resolve support issues, even when raised during Support Hours.
18.5 Support Hours Modifications
Pawtrition India reserves the right to modify Support Hours at any time without notice.
Users shall have no right to compensation or claim for changes to Support Hours.
Modified Support Hours will be communicated through the Platform when practicable, but failure to communicate does not obligate the Company.
19. Grievance Redressal and Escalation
Pawtrition India is committed to addressing User grievances in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (Notification No. G.S.R. 139(E), dated 25 February 2021, as amended) (https://egazette.nic.in/WriteReadData/2021/225464.pdf).

For grievances or complaints, Users must submit a written notice containing:
Name and contact information.
Detailed description of the grievance or complaint.
Relevant order number or transaction ID (if applicable).
Specific relief sought.
Supporting documentation or evidence.

Response Timeframe:
Pawtrition India shall acknowledge receipt of the grievance during Support Hours (9:00 AM to 9:00 PM IST) within 5 business days of submission.
Pawtrition India shall make good faith effort to resolve the grievance during Support Hours within 30 calendar days of receipt.
However, Pawtrition India makes no guarantee of resolution and reserves the right to reject or dismiss any grievance if deemed to be invalid, frivolous, or outside the scope of these Terms.
Escalation:
If the User is unsatisfied with the resolution, the User may escalate the matter to the Designated Nodal Officer in writing during Support Hours.
Escalation does not create any additional obligation or liability on Pawtrition India and is purely a courtesy measure.
20. Entire Agreement
These Terms and Conditions constitute the entire and exclusive agreement between Pawtrition India and Users concerning the use of the Platform and the purchase of Products, superseding all prior negotiations, understandings, agreements, and representations, whether written or oral.
No prior course of dealing, course of performance, or usage of trade shall be deemed to modify, supplement, or contradict these Terms.
If any representation, warranty, or agreement has been made by Pawtrition India personnel verbally or otherwise, such representation is void and unenforceable unless explicitly incorporated herein in writing and signed by an authorized representative of Pawtrition India.
21. Waiver and Non-Enforcement
The failure of Pawtrition India to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
No single or partial exercise by Pawtrition India of any right, power, or remedy shall preclude any other or further exercise of such right, power, or remedy.
Any waiver must be in writing and signed by an authorized representative of Pawtrition India to be valid and enforceable.

You accept exclusive jurisdiction of courts in Ghaziabad, Uttar Pradesh, and consent to be bound by Indian law.
You understand that customer support is available only during Support Hours (9:00 AM to 9:00 PM IST, seven days a week) and that Pawtrition India has no obligation to respond outside these hours.
You accept the Absolute Disclaimer of Liability for all products and services, including any harm to persons or animals.
